By accessing and using Euron ("Platform", "Service", "we", "us", or "our"), you accept and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Platform.

These Terms apply to all users of the Platform, including but not limited to educators, institutions, students, and visitors.

Euron is a white-label EdTech Software-as-a-Service (SaaS) platform that enables educators and institutions to create, manage, and sell educational content. Our services include but are not limited to:

We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3.1 Account Creation

To access certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4.1 Subscription Plans

Euron operates on a subscription-based model with multiple pricing tiers. Current pricing is available on our website and may be modified with 30 days' notice.

4.2 Payment Terms

• Subscription fees are billed monthly or annually in advance
• Annual subscriptions receive a 20% discount
• All fees are in Indian Rupees (INR) unless otherwise stated
• Payments are non-refundable except as required by law
• Failed payments may result in service suspension
• Price changes require 30 days' advance notice

4.3 Free Trial

New users may be eligible for a 14-day free trial. No credit card is required. Trial limitations and conversion terms are specified during signup.

4.4 Taxes

All fees are exclusive of applicable taxes (GST, VAT, etc.). You are responsible for paying all taxes associated with your use of the Platform.

5.1 Your Content

You retain all ownership rights to content you create, upload, or distribute through the Platform ("Your Content"). By using our Platform, you grant us a limited license to:

• Host, store, and display Your Content
• Process and distribute Your Content to your students
• Create backups and derivative works for operational purposes
• Use anonymized data for analytics and improvements

5.2 Content Responsibilities

You represent and warrant that Your Content:

• Does not infringe any third-party intellectual property rights
• Complies with all applicable laws and regulations
• Does not contain malicious code or viruses
• Does not promote illegal activities or hate speech
• Is not defamatory, obscene, or offensive

5.3 Platform Content

All Platform software, design, text, graphics, logos, and other content provided by Euron ("Platform Content") are owned by us or our licensors and protected by intellectual property laws.

5.4 White-Label Rights

Paid subscribers receive the right to rebrand the Platform with their own logo, colors, and domain. You may not resell or redistribute the Platform software itself.

You agree not to use the Platform for any of the following purposes:

7.1 EURI Chat Assistant

EURI is an AI-powered chatbot that provides automated responses to student queries. While we strive for accuracy, AI responses may occasionally be incorrect or incomplete. You are responsible for reviewing and validating AI-generated content.

7.2 AVNI Interview System

AVNI provides AI-conducted mock interviews. Feedback and scoring are automated and should be used as guidance only. We do not guarantee employment outcomes based on AVNI assessments.

7.3 Usage Limits

AI tool usage is subject to plan-specific limits. Excessive use may result in throttling or additional charges. Fair use policies apply.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

8.1 Data Security

• GDPR and data protection law compliance
• Secure data centers with 99.9% uptime SLA
• Regular automated backups

8.2 Data Ownership

You retain ownership of all data you upload to the Platform. We do not sell your data to third parties. Upon account termination, you may request data export within 30 days.

9.1 Service Availability

While we strive for 99.9% uptime, the Platform is provided "as is" and "as available." We do not guarantee uninterrupted or error-free service. Scheduled maintenance will be communicated in advance.

9.2 No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.3 Limitation of Liability

IN NO EVENT SHALL EURON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Euron, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your Content or any intellectual property infringement
• Your violation of any third-party rights
• Any disputes between you and your students/customers

11.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds for partial months.

11.2 By Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Abuse the Platform or harm other users

11.3 Effect of Termination

Upon termination, your access to the Platform will cease. You have 30 days to export your data. After 30 days, we may permanently delete your account and data.

12.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

12.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English in Mumbai, India.

12.3 Exceptions

Either party may seek injunctive relief in court for intellectual property disputes or to enforce arbitration agreements.

We reserve the right to modify these Terms at any time. Material changes will be notified via:

• Email notification to your registered address
• In-app notification banner
• Updated "Last Modified" date at the top of this page

Continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree, you must discontinue use and cancel your subscription.

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Euron regarding the Platform.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, or internet failures.
